1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Candogram, Inc. ("Candogram," "we," "our," or "us"), governing your access to and use of the Candogram platform at www.candogram.com (the "Platform").

By creating an account, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

Candogram reserves the right to update these Terms at any time. We will notify you of material changes by email or by posting a notice on the Platform. Your continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.

2. About Candogram

Candogram is a job market education platform that helps students and professionals discover career opportunities, assess their skills, and match with relevant job openings. Candogram also partners with educational institutions to provide career readiness tools to their students.

3. User Types and Eligibility

The Platform serves three types of users:

Students

Students are individuals enrolled in an educational institution who use the Platform to explore career opportunities, record work history, complete self-assessments, and discover job matches. Students must be at least 13 years of age to create an account. Students under 18 should review these Terms with a parent or guardian.

Professionals

Professionals are individuals who use the Platform to explore career opportunities, manage their professional profile, and discover job matches based on their skills and experience.

Institutional Partners

Institutional Partners are accredited educational institutions (such as colleges and universities) that partner with Candogram to provide job market education services to their students. Institutional Partners must execute a separate Data Sharing Agreement with Candogram governing the use of student data.

By using the Platform, you represent that you are eligible to form a binding contract and are not barred from using the Platform under applicable law.

4. Account Registration and Security

To access certain features of the Platform, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password confidential and not share it with others
  • Notify us immediately of any unauthorized access to your account at henning.seip@candogram.com
  • Accept responsibility for all activity that occurs under your account

Candogram reserves the right to suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms.

5. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Platform in any way that violates applicable local, state, national, or international law or regulation
  • Upload, post, or transmit content that is harmful, defamatory, libelous, obscene, threatening, abusive, harassing, or otherwise objectionable
  • Impersonate any person or entity, including Candogram employees, institutional partners, or other users
  • Post content or information that you do not have the right to disclose
  • Attempt to gain unauthorized access to any part of the Platform, other user accounts, or connected systems
  • Use automated tools, bots, scrapers, or scripts to access or collect data from the Platform without prior written permission
  • Introduce malware, viruses, or other malicious code to the Platform
  • Interfere with or disrupt the integrity or performance of the Platform
  • Use personally identifiable information of other users for any purpose other than the intended use of the Platform
  • Send unsolicited communications (spam) to other users
  • Register an email address you do not own or do not have permission to use

Violations of these standards may result in immediate account suspension or termination and may be referred to law enforcement authorities.

6. User Content

The Platform allows you to submit, upload, and store content including resumes, work history, self-assessment results, and profile information ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant Candogram a limited, non-exclusive, royalty-free license to store, display, and process your User Content solely for the purpose of providing the Platform's services to you.

You represent and warrant that your User Content is accurate, does not violate any third-party rights, and does not contain any material that violates these Terms or applicable law.

Candogram does not sell or share your User Content with third parties for advertising or marketing purposes. User Content may be shared with institutional partners only where you are a student of that institution and a Data Sharing Agreement is in place.

7. Intellectual Property

All content on the Platform — including but not limited to text, graphics, logos, images, software code, and the compilation of content — is the property of Candogram or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws.

Candogram grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. You may not:

  • Copy, reproduce, distribute, or create derivative works from Platform content without prior written permission
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Use Platform content for any public or commercial purpose without written authorization

8. Privacy and Student Data

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

Candogram handles student personally identifiable information (PII) in compliance with the Family Educational Rights and Privacy Act (FERPA). Student data shared with Candogram by institutional partners is used solely to provide the Platform's educational and career matching services and is never used for advertising or sold to third parties.

Institutional Partners who share student PII with Candogram must execute a Data Sharing Agreement and are responsible for obtaining any required consents from students or parents under applicable law.

9. Account Termination

You may delete your account at any time through the Delete Account option in your profile Settings. Upon deletion, your personal profile data will be permanently removed within 24 hours in accordance with our Privacy Policy.

Candogram reserves the right to suspend or terminate your account at any time, with or without notice, for:

  • Violation of these Terms
  • Conduct that Candogram determines, in its sole discretion, is harmful to other users, third parties, or the Platform
  • Extended periods of inactivity
  • Requests by law enforcement or other government agencies

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Candogram does not warrant that:

  • The Platform will be uninterrupted, error-free, or secure
  • Any job listings, career information, or matching results will be accurate, complete, or suitable for your purposes
  • Defects in the Platform will be corrected

Job listings and career data displayed on the Platform are sourced from third parties. Candogram does not guarantee the accuracy, completeness, or availability of any job listing and is not responsible for the hiring decisions of any employer.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CANDOGRAM, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF CANDOGRAM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall Candogram's total liability to you for all claims arising out of or relating to these Terms or your use of the Platform exceed the greater of (a) the amount you paid to Candogram in the twelve months preceding the claim, or (b) one hundred dollars ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Candogram, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in any way connected with your access to or use of the Platform, your User Content, or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Connecticut.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class or representative action. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

14. Third-Party Links and Services

The Platform may contain links to third-party websites or integrate third-party services (such as Google, Mailchimp, and job listing providers). These links and integrations are provided for your convenience only. Candogram has no control over and assumes no responsibility for the content, privacy policies, or practices of third-party websites or services.

We encourage you to review the privacy policies and terms of any third-party services you access through the Platform.

15. Modifications to the Platform

Candogram reserves the right to modify, suspend, or discontinue the Platform or any part of it at any time, with or without notice. Candogram shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

16. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Candogram with respect to your use of the Platform and supersede all prior agreements and understandings.
